These Terms of Service govern your access to and use of reserve, a SaaS platform for business automation, AI-powered agents, booking management, customer support automation, and social media integrations. By using the Service, you agree to these Terms.
1. Who We Are
This Service is operated by JPN Software Development Services, a sole proprietorship registered in the Philippines (“we”, “us”, or “our”).
2. Eligibility and Accounts
You must be legally able to enter into a binding agreement to use the Service. If you use the Service on behalf of a business, you represent that you are authorized to accept these Terms for that business.
You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must keep your account and business information accurate and up to date.
3. The Service
reserve helps businesses manage operations through features such as AI-powered customer conversations, bookings, services, team access, file uploads, analytics, notifications, and integrations with third-party platforms.
We may update, improve, suspend, or discontinue parts of the Service as needed to maintain, secure, or improve the platform.
4. Subscriptions and Billing
Some features require an active paid subscription. Plan features, limits, prices, and billing periods are shown during checkout or in the billing area of the Service.
Payments are processed by our payment provider. We do not store raw payment card numbers or sensitive payment credentials. You are responsible for any taxes, fees, or charges associated with your subscription unless stated otherwise.
If a payment fails or your subscription expires, we may limit, suspend, or downgrade access to paid features until billing is resolved.
5. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right.
- Send spam, phishing messages, or deceptive communications.
- Upload malicious code or attempt to disrupt the Service.
- Access data, accounts, or systems without authorization.
- Use AI features to generate unlawful, harmful, abusive, or misleading content.
- Reverse engineer, scrape, resell, or misuse the Service except as permitted by law or by written agreement.
6. Business Content and Customer Data
You retain ownership of information, files, messages, settings, and other content you submit to the Service (“Business Content”). You grant us the limited right to host, process, transmit, and display Business Content as needed to provide and improve the Service.
You are responsible for ensuring that you have the rights and permissions needed to provide Business Content and customer data to the Service, including data received through connected social media accounts.
7. AI Features
AI-generated responses may be incomplete, inaccurate, or inappropriate for a specific situation. You are responsible for configuring your AI agent, reviewing its behavior, and ensuring that automated communications are suitable for your business and customers.
The Service is not intended to provide legal, medical, financial, or other professional advice. Do not rely on AI output as a substitute for professional judgment.
8. Third-Party Services
The Service may integrate with third-party services such as social media platforms, authentication providers, and payment processors. Your use of those services is governed by their own terms and policies.
We are not responsible for third-party services, their outages, API changes, data practices, or platform decisions.
9. Privacy
Our Privacy Policy explains how we collect, use, disclose, and safeguard information when you use the Service. By using the Service, you also agree to our privacy practices described there.
10. Intellectual Property
We and our licensors own the Service, including its software, design, workflows, branding, and related intellectual property. These Terms do not transfer ownership of the Service to you.
You may use the Service only as allowed by these Terms and your subscription plan.
11. Availability and Support
We aim to keep the Service reliable, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. Maintenance, outages, third-party failures, or events outside our control may affect availability.
12. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk for the Service or other users, fail to pay required fees, or use the Service unlawfully.
13. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to your use of the Service.
15. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you. Continued use of the Service after changes become effective means you accept the updated Terms.
